  • EarthSpark International Solar Power: Represent EarthSpark International, the developer of a solar-powered micro grid project in Haiti, in connection with debt and equity financing, including loans from Green Climate Fund, through NEFCO (the Nordic Environment Finance Corporation) and other development finance institutions.
  • Iraqi Ports: Represented Nafith International in connection with a concession agreement with the Government of Iraq and debt financing for the construction and operation of a transportation logistics system in Iraq.
  • Cookstove Clean Cooking/Carbon Credits: Represented an investor in connection with loans made to a manufacturer of fuel-efficient cookstoves in Kenya, secured by a pledge of carbon credits generated by the project.
  • Climate Adaptation and Resilience: Represented Climate Finance Advisors and CRDB Bank in connection with a $200 million financing, grant and insurance program from Green Climate Fund to develop an adaptation and resilience concessional lending program for the Tanzanian agricultural sector.

  • Deutsche Bank/FINCA Microfinance Fund: Represented FINCA International in connection with a subordinated debt financing to provide FINCA banks in Mexico, Democratic Republic of Congo, Armenia, Azerbaijan, Georgia, Kyrgyzstan and Tajikistan with $100 million in loan capital for on-lending to micro borrowers. First single microfinance network subordinated debt deal, and first microfinance subordinated debt deal successfully completed since 2007.

  • Inter-Mac Honduras Housing: Represented the construction contractor in the acquisition of an affordable housing community in Honduras; and represented the project sponsors, borrowers and construction contractor in connection with the successful restructuring of a DFC loan that financed the redevelopment and expansion of the project.
  • International School of Kenya: Represented the International School of Kenya in connection with an $8 million loan from DFC to finance the construction and expansion of its school in Kenya.
  • MVB Panama Housing: Represented the borrower in connection with a $7.5 million DFC loan to finance the construction and development of low-income housing in Panama.

  • Rolls-Royce/Continental Airlines: Represented Rolls-Royce plc and Rolls-Royce North America in connection with $400 million of Rolls-Royce-guaranteed debt to finance the sale of aircraft to Continental Airlines in the United States.
  • Rolls-Royce/Continental Airlines: Represented Rolls-Royce plc and Rolls-Royce North America in connection with $200 million of Rolls-Royce-guaranteed bridge debt to finance the sale of aircraft to Continental Airlines in the United States.

  • Djibouti Salt Mine: Represented DFC in connection with DFC’s issuance of $60 million of political risk insurance to cover the debt financing of the construction and operation of a salt mine in the Republic of Djibouti.
  • Bucheit International: Represented DFC in the successful defense of a political risk insurance claim brought against DFC under DFC’s political risk insurance contract covering the equity investment in a construction project in Gaza.
  • Rota International: Represented DFC in the successful defense of a claim brought against DFC under DFC’s political risk insurance contract covering the equity investment in a cashew production facility in Guinea-Bissau.
  • IEC Gas Pipeline: Represented DFC in connection with the negotiation of Non-Honoring of Sovereign Guaranty expropriation coverage for a $250 million loan that financed the construction and operation of an offshore natural gas pipeline in Israel.
